Terms of Use

Section 01

Acceptance of terms

By accessing or using the RealEasy platform, website, and services (collectively, the "Platform"), you agree to be bound by these Terms of Use ("Terms") and all applicable laws and regulations. If you do not agree with any of these Terms, you are prohibited from using or accessing the Platform.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and RealEasy Technologies Inc. ("RealEasy," "we," "us," or "our"), an Alberta corporation providing technology services.

Section 02

Platform description and nature of services

2.1 Technology Platform Only

RealEasy is exclusively a technology platform that provides digital tools, software, and infrastructure for direct peer-to-peer real estate transactions. We are not a real estate brokerage, agency, or advisory service.

2.2 What We Provide

The Platform provides:

• Document generation, which assembles documents from the terms the parties themselves enter
• Communication infrastructure between buyers and sellers
• Transaction workflow management software
• Electronic signature integration
• Cloud-based document storage
• Automated notification systems

2.3 What We Do Not Provide

RealEasy does not:

• Act as a real estate agent, broker, or representative
• Provide real estate advice or recommendations
• Negotiate on behalf of any party
• Estimate property value, suggest or recommend a listing price, or provide a comparative market analysis or any other opinion of value
• Propose, recommend or originate any term, condition, deadline or amount
• Guarantee any transaction outcomes
• Hold or manage trust funds or deposits
• Provide legal, financial, or tax advice
• Act in a fiduciary capacity for any user

Section 03

User eligibility and registration

3.1 Eligibility Requirements

You must be at least 18 years of age and have the legal capacity to enter into contracts. By using the Platform, you represent and warrant that you meet these eligibility requirements.

3.2 Account Registration

Users must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.3 Identity Verification

Users may be required to complete identity verification through Didit, our identity verification provider. Failure to complete verification may limit Platform functionality.

Section 04

Fees

Listing a property on the Platform is free. There is no listing fee, no subscription, and no charge to browse, to make an offer, or to negotiate.

RealEasy charges a platform technology fee to a seller whose sale completes under a purchase agreement signed through the Platform. That fee is not created by these Terms. It is created by a separate Platform Agreement between the seller and RealEasy, which a seller signs before their listing is published, and which sets out:

• what the fee is;
• that no amount is owing unless and until a sale actually completes;
• which sales it applies to; and
• how the fee is paid.

The fee is exclusive of GST, which the seller pays in addition at the applicable rate.

Selling elsewhere costs you nothing. If you sell your property other than under a purchase agreement signed through the Platform, no fee is payable under the Platform Agreement. There is no protection period, and taking your listing down does not leave a claim behind. The one exception is a sale you have already accepted an offer on through the Platform: if that sale completes, the fee applies to it, whether or not the listing is still up.

If you are selling, read that agreement. Nothing in these Terms adds to, reduces, or varies it, and if these Terms and the Platform Agreement disagree about the fee or about a listing, the Platform Agreement governs.

The fee is charged for technology services and is not a commission for real estate services.

RealEasy does not process payments. The Platform has no checkout, takes no card details, and holds no funds of any kind.

Section 05

User responsibilities and prohibited uses

5.1 User Responsibilities

Users are solely responsible for:

• All decisions regarding pricing, terms, and conditions
• Verifying all information and conducting due diligence
• Compliance with all applicable laws and regulations
• The accuracy of all information provided
• Obtaining appropriate professional advice (legal, financial, tax)
• Understanding and fulfilling all contractual obligations

5.2 Property Listing Requirements

Users listing properties must:

• Be the registered owner of the property or otherwise entitled to sell it
• Be listing in their own interest and not on behalf of another person
• Provide accurate and complete information
• Comply with all applicable real estate laws and regulations

The Platform is for owners selling their own property. It may not be used by a person listing property on behalf of another for a commission or other compensation.

5.3 Prohibited Activities

Users shall not:

• Use the Platform for any illegal purpose
• Post false, misleading, or fraudulent information
• Impersonate any person or entity
• Take steps to avoid a fee payable under a Platform Agreement
• Scrape, mine, or harvest data from the Platform
• Interfere with Platform operations
• Use the Platform to carry on real estate brokerage
• Represent others in real estate transactions for compensation

Section 06

Intellectual property

6.1 Platform Ownership

All Platform content, features, functionality, software, and technology are owned by RealEasy and protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes in accordance with these Terms.

6.3 User Content

By submitting content to the Platform, you grant RealEasy a non-exclusive, royalty-free license to use, reproduce, store and display that content for the purpose of operating the Platform, including publishing your listing and generating transaction documents. This license does not extend to marketing or promotional use. Where we would like to use your content for marketing, we will ask you separately.

Section 07

Disclaimers and limitations of liability

7.1 No Professional Services

RealEasy does not provide real estate, legal, financial, or tax advice. The Platform is not a substitute for professional representation or advice. You should consult qualified professionals before making transaction decisions.

7.2 Platform Disclaimer

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

7.3 Generated Documents

Documents generated on the Platform are assembled from the terms the parties enter. They are not standard-form documents of the Alberta Real Estate Association or of any real estate board, and RealEasy is not affiliated with AREA, RECA, or any board. RealEasy does not warrant that a generated document is suitable for your situation or addresses every circumstance. Have your documents reviewed by your own Alberta lawyer.

7.4 No Valuation or Pricing Guidance

The Platform does not estimate what a property is worth, suggest a listing price, provide comparable sales for the purpose of pricing, or offer any opinion of value. Pricing decisions are yours alone.

7.5 Transaction Outcomes

RealEasy does not guarantee that any transaction will be completed, that a property will sell, or that any particular outcome will be achieved.

7.6 Limitation of Liability

RealEasy is not liable for indirect, incidental, special, consequential or punitive damages, including lost profits, lost data, loss of goodwill, or loss arising from a transaction not completing.

RealEasy's total liability for any claim arising from or relating to these Terms or the Platform is limited to the greater of (a) the fees you have paid to RealEasy in the twelve months preceding the claim and (b) $500.

Nothing in this section limits liability for fraud, for fraudulent misrepresentation, or for any liability that cannot be limited or excluded at law.

Section 08

Indemnification

You agree to defend, indemnify, and hold harmless RealEasy and its affiliates, officers, directors, employees and agents from and against any claims, damages, obligations, losses, liabilities, costs and expenses (including legal fees) arising from:

• Your use of and access to the Platform
• Your violation of these Terms
• Your violation of any third-party right
• Any real estate transaction you enter into
• Any content you submit to the Platform

This indemnity does not apply to the extent a claim arises from RealEasy's own breach of these Terms or its own negligence.

Section 09

Dispute resolution

9.1 Governing Law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law provisions.

9.2 Arbitration Agreement

Subject to section 9.4, any dispute arising from or relating to these Terms or the Platform shall be resolved through binding arbitration under the Arbitration Act (Alberta), before a single arbitrator, seated in Red Deer, Alberta.

9.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

9.4 Claims You May Bring in Court

Section 9.2 does not apply to any claim within the monetary jurisdiction of the Alberta Court of Justice. Either party may bring such a claim in that Court. Nothing in this section prevents either party from applying to a court for interim relief.

Section 10

Regulatory position

10.1 Not a Brokerage

RealEasy is not licensed as a real estate brokerage under the Real Estate Act (Alberta) or in any other jurisdiction, and does not hold itself out as one. The Platform is operated on the basis described in section 2 — RealEasy provides software to people selling their own property, and does not represent any party, advise on price or terms, negotiate for any party, or hold funds.

10.2 User Compliance

Users are responsible for ensuring their use of the Platform complies with all applicable laws, including real estate, tax, and consumer protection laws.

10.3 Anti-Money Laundering

Users agree to comply with all applicable anti-money laundering laws and regulations. We may report suspicious activity to the appropriate authorities.

Section 11

Privacy and data protection

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

Third-party services

12.1 Integration Services

The Platform integrates with the following third-party services:

• Identity verification: Didit
• Authentication: Supabase Auth
• Electronic signatures: DocuSign
• Hosting, storage and infrastructure: Render, Vercel, Supabase
• Transactional email: Resend
• Analytics: PostHog, Vercel Analytics
• Maps: Mapbox

Our Privacy Policy states what each receives.

12.2 Third-Party Terms

Your use of third-party services is subject to their respective terms. RealEasy is not responsible for third-party services, content, or practices.

Section 13

Changes to these terms

We may issue a new version of these Terms. A new version does not take effect for you automatically. When a new version takes effect, you will be asked to review and accept it before continuing to use the Platform. Until you do, the version you accepted continues to govern your use.

Each version is recorded with its own effective date, and the version you accepted is retained.

Section 14

Termination

14.1 Termination by RealEasy

We may suspend or terminate your account where you breach these Terms, where we are required to do so by law, or where continued access would expose RealEasy or another user to material risk. Except where immediate action is necessary, we will give you notice and a reasonable opportunity to remedy the breach.

14.2 Effect of Termination

On termination your right to use the Platform ceases. Termination does not affect any Platform Agreement you have signed, any transaction already under way, or any agreement you have entered with another user. Provisions that by their nature should survive termination survive it.

Section 15

Miscellaneous

15.1 Entire Agreement

These Terms, together with the Privacy Policy, are the entire agreement between you and RealEasy regarding your use of the Platform. They do not replace or vary any Platform Agreement you have signed, which governs the matters it covers.

15.2 Severability

If any provision of these Terms is unenforceable, it is severed and the remaining provisions continue in full force.

15.3 Waiver

No waiver of any term is a further or continuing waiver of that term or any other term.

15.4 Assignment

You may not transfer these Terms or your rights under them without our prior written consent. We may transfer them to a successor to our business on notice to you.

15.5 Force Majeure

RealEasy is not liable for any failure or delay in performance due to circumstances beyond its reasonable control.

Section 16

Acknowledgments

By using the Platform you acknowledge that:

• Real estate transactions involve significant financial and legal risks
• You are not represented by RealEasy in any capacity
• You should obtain independent professional advice
• Electronic signatures are legally binding
• There is no cooling-off period for real estate purchases in Alberta
• You are responsible for your own decisions and their outcomes
